01Identification of the provider

These terms and conditions (hereinafter, the "Terms") govern the use of the platform accessible under the domain nextcapital.es (hereinafter, the "Platform") and of the financial services offered through it.

The Platform is owned by Next Capital Solutions S.L., with registered office at calle Avenida la Estación, 5, entresuelo, puerta 1-7, Alicante (03003), holding Tax ID (C.I.F.) B-88766142 (hereinafter, "Next Capital").

Next Capital intends to act as an agent of SEFIDE EDE, S.L., an electronic money institution authorised by the Banco de España and registered in the Official Register of Entities under code 6705 (hereinafter, "SEFIDE"). Next Capital's application for registration in that Register as an agent of SEFIDE is currently being processed. Next Capital will not provide any electronic money or payment service until such registration becomes effective and is verifiable in the Official Register of the Banco de España.

02Purpose and scope of application

The purpose of these Terms is to describe the conditions under which the client, whether a natural or legal person (hereinafter, the "Client"), may access the Platform and contract the electronic money services that SEFIDE will provide through Next Capital, as well as the use of the artificial intelligence agent integrated into the Platform. The effective contracting of those services shall be subject to Next Capital's registration as an agent in the Official Register of Entities of the Banco de España.

The services include, without prejudice to the specific contractual terms agreed with SEFIDE at the time of account opening:

The following may be Clients:

To open an account it is essential to pass the identity verification process (KYC) or, where applicable, the legal-person verification process (KYB), in accordance with Ley 10/2010, de 28 de abril, de prevención del blanqueo de capitales y de la financiación del terrorismo and other applicable regulations. Once the registration process is enabled, Next Capital or SEFIDE may request additional documentation at any time if they consider it necessary for regulatory compliance.

04Registration process

The registration process to become a Client will be enabled once Next Capital is registered as an agent of SEFIDE in the Official Register of Entities of the Banco de España. Until then, it is not possible to open an account or contract any service through the Platform.

When the registration process is available, the Client must provide the personal, tax and documentary data requested, including biometric verification of their identity. Final acceptance of the application will rest with SEFIDE as the issuer of the electronic money, which may reject it where there are grounds relating to regulatory compliance, financial risk, fraud prevention or other legitimate causes.

07Right of withdrawal

In accordance with Ley 22/2007 de comercialización a distancia de servicios financieros destinados a los consumidores, a Client who is a consumer shall have a period of 14 calendar days from the conclusion of the contract to withdraw from it without the need for justification. The right of withdrawal shall be exercised by notifying Next Capital in writing through Customer Service.

08Limitation of liability

Next Capital and SEFIDE assume the responsibilities legally required of them as payment service providers. They shall not, however, be liable for damages arising from:

09Suspension and cancellation

Next Capital or SEFIDE may suspend or cancel the Client's access where any of the following causes arise: (i) serious breach of the Terms; (ii) well-founded suspicion of fraud, impersonation or money laundering; (iii) requirement from a competent authority; (iv) cessation of the activity of Next Capital or SEFIDE; or (v) any other cause provided for in the applicable regulations.

The Client may cancel their account at any time from the Platform or by requesting closure from Customer Service. Any remaining balances will be redeemed in accordance with the provisions of Article 11 of Ley 21/2011, free of charge where applicable.

10Intellectual property

The name "Next Capital", the logos, trademarks, distinctive signs, editorial content, source code and the specific design of the Platform are the property of Next Capital or SEFIDE, as applicable, or of the corresponding licensors. Their unauthorised reproduction, distribution or use is prohibited.

11Modification of the terms

Next Capital may modify these Terms to adapt them to regulatory, technical or commercial-offering changes. Modifications affecting the contracted services will be communicated to the Client at least two months in advance and will take effect unless the Client expressly states otherwise, in accordance with Article 19 of Real Decreto-ley 19/2018 on payment services.

12Customer service and complaints

The Client may direct enquiries, complaints or claims to Next Capital's Customer Service at the email address info@nextcapital.es. Complaints will be handled within a maximum period of fifteen business days in accordance with Orden ECC/2502/2012.

If the response is not satisfactory or if two months elapse without a response being received, the Client may turn to the Complaints Service of the Banco de España (calle Alcalá 48, 28014 Madrid; www.bde.es). Notwithstanding the foregoing, recourse to the courts remains open.

13Governing law and jurisdiction

These Terms are governed by Spanish law. For the resolution of any dispute arising from their interpretation or application, the parties submit to the Courts and Tribunals corresponding to the Client's domicile where the Client is a consumer, and to the Courts and Tribunals of Alicante in all other cases.
